These Terms and Conditions (the “Terms“) govern your use of https://www.contexx-research.com (the “Site“) and every purchase of products from Contexx Research Inc. (“Contexx Research“, “we“, “us” or “our“). Please read them carefully. By using the Site, creating an account or placing an order, you agree to these Terms, our Refund Policy, our Shipping Policy, our Research Use Disclaimer and our Privacy Policy, which form part of these Terms. If you do not agree, do not use the Site or place an order.
1. Who we are
Contexx Research Inc. is a corporation based in Ontario, Canada. You can reach us through the contact form on our website.
2. Research Use Only
2.1 All products sold on the Site (the “Products“) are chemical reference materials supplied solely for in-vitro laboratory research and analytical testing by qualified purchasers.
2.2 The Products are not drugs, natural health products, foods, dietary supplements, cosmetics or medical devices. They have not been authorized by Health Canada, the U.S. Food and Drug Administration or any other regulator for use in humans or animals.
2.3 The Products are not for human or veterinary use. They must not be ingested, injected, inhaled, applied to the body, or administered to humans or animals in any way, and must not be used in food, household or consumer products.
2.4 Any reference on the Site to published research is provided for scientific information only and is not a claim, representation or suggestion that any Product has any effect, benefit or safety profile in humans or animals.
3. No medical advice or use instructions
We do not provide medical advice, dosing information, instructions for preparing Products for administration, or any information about human or animal use, and our staff will not answer such questions. Nothing on the Site or in our communications is intended to diagnose, treat, cure, mitigate or prevent any disease or condition. If a message, order note or chat suggests personal, human or animal use, we will decline to assist and may cancel the related order (see section 6).
4. Purchaser eligibility
4.1 You may purchase Products only if all of the following are true:
- (a) you are at least 21 years of age, wherever you are located;
- (b) you are purchasing on behalf of, or as, a laboratory, research institution, or business or professional working in a laboratory setting (a “Qualified Purchaser“);
- (c) you have the training, facilities and equipment needed to handle, store and dispose of laboratory chemicals safely and lawfully; and
- (d) your purchase, import, possession and use of the Products is lawful where you are located and where the Products will be delivered.
4.2 You must provide accurate and complete information when you create an account or place an order, including your name, organization, address and contact details, and keep it up to date.
5. Purchaser representations
By placing an order you represent, warrant and agree that:
- (a) you meet every requirement in section 4;
- (b) you will use the Products only for lawful in-vitro research or analytical purposes;
- (c) you will not use, administer, or supply the Products for use in or on humans or animals, and will not sell, resell, relabel, repackage, distribute or otherwise transfer the Products to any person for such use or to any person who is not a Qualified Purchaser;
- (d) you will comply with all laws that apply to the purchase, import, export, transport, storage, handling, use and disposal of the Products, including any import permits, licences or customs declarations required in your jurisdiction; and
- (e) all information you give us, including any attestation at checkout, is true and accurate.
6. Order acceptance, verification and cancellation
6.1 Your order is an offer to buy. An order is accepted only when we ship it, not when you receive an order confirmation email.
6.2 We may, at any time before or after accepting an order, ask you to provide information to verify your identity, age, organization, or intended research use (for example, institutional email, business registration, or a description of your research application). We may hold an order until we receive satisfactory information.
6.3 We may refuse or cancel any order, or limit quantities, at our discretion, including where: we cannot verify eligibility; we reasonably believe a Product may be used in or on humans or animals or resold for such use; the destination is one where import or sale of the Product is restricted or where we do not ship; there is a pricing, description or stock error; or we suspect fraud. If we cancel an order before it ships, we will refund the full amount paid to the original payment method.
6.4 We may suspend or close accounts that breach these Terms.
7. Product information and Certificates of Analysis
7.1 We try to describe Products accurately, including identity, quantity, purity and storage information, and to make a lot-specific Certificate of Analysis (“COA“) available on the product page or on request.
7.2 Product images are for illustration. If there is a conflict between an image and the written product information or COA, the written information and COA prevail.
8. Prices, currency, taxes and payment
8.1 Prices are shown, and your order is charged, in the currency displayed at checkout (Canadian dollars or U.S. dollars). The total price, including shipping charges and applicable taxes, is shown before you submit your order.
8.2 Applicable sales taxes (GST/HST/PST) are added where required. Customs duties, import taxes and brokerage fees charged by the destination country are the purchaser’s responsibility unless stated otherwise at checkout.
8.3 Payment is due in full at the time of order through the payment methods offered at checkout. Payments are processed by third-party payment processors subject to their own terms.
9. Shipping and risk of loss
9.1 We currently ship to addresses in Canada and the United States. Shipping is governed by our Shipping Policy. Delivery dates are estimates, not guarantees.
9.2 You are responsible for knowing and complying with the import rules of your jurisdiction, including any permits, licences or registrations required to import or possess a Product, and for any customs duties, import taxes and brokerage fees (see section 8.2). We do not guarantee that any shipment will clear customs.
9.3 Title to and risk of loss of the Products pass to you when the carrier delivers them to the shipping address you provided.
10. Returns, refunds and replacements
Returns, refunds and replacements (including for wrong, damaged, defective or lost items, and returns of unopened Products) are governed by our Refund Policy, which forms part of these Terms. If anything in these Terms appears to conflict with the Refund Policy on a returns or refund question, the Refund Policy applies.
11. Handling and safety
You are solely responsible for the safe and lawful handling, storage, use and disposal of the Products in accordance with good laboratory practice, any Safety Data Sheet we provide, and applicable law. The Products should be handled only by trained personnel in an appropriate laboratory setting.
12. Limited warranty and disclaimer
12.1 We warrant that, at the time of shipment, each Product will conform to the identity and purity stated on its product page or lot-specific COA. Your sole remedy for breach of this warranty is replacement of the Product or a refund under our Refund Policy.
12.2 Except as stated in section 12.1 and to the maximum extent permitted by law, the Products and the Site are provided “as is”, and we disclaim all other warranties, representations and conditions, express or implied, including any implied warranty or condition of merchantability, fitness for a particular purpose, or non-infringement. We make no warranty that a Product is suitable for any particular research application.
13. Limitation of liability
13.1 To the maximum extent permitted by law, Contexx Research and its directors, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, or business, arising out of or relating to the Products, the Site or these Terms.
13.2 To the maximum extent permitted by law, our total liability for any claim arising out of or relating to an order will not exceed the amount you paid for the Products in that order.
13.3 We are not liable for any loss, injury or damage resulting from use of a Product contrary to these Terms, including any use in or on humans or animals, or from improper handling, storage or disposal.
14. Indemnity
You agree to indemnify and hold harmless Contexx Research and its directors, officers, employees and agents from any claims, losses, liabilities, damages, fines, costs and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms or of any representation in section 5; (b) your use, misuse, resale or transfer of any Product; or (c) your violation of any law or the rights of any third party.
15. Reviews and user content
If you post a review or other content, you grant us a non-exclusive, royalty-free licence to display it on the Site. Reviews must relate to order accuracy, product documentation, packaging, shipping and service only. We do not publish reviews that describe personal, human or animal use or effects, and we may remove any content at our discretion.
16. Intellectual property
The Site and its content, including text, graphics, logos and the Contexx Research name, are owned by or licensed to Contexx Research and are protected by intellectual property laws. You may not copy, reproduce or use them for commercial purposes without our written permission.
17. Privacy
Our collection and use of personal information is described in our Privacy Policy.
18. Consumer rights
Nothing in these Terms excludes or limits any right or remedy that cannot be excluded or limited under applicable consumer protection law, including Ontario’s Consumer Protection Act. If you are a consumer, these Terms apply to the extent permitted by that law.
19. Governing law and venue
These Terms and any order are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to section 18, you agree to the exclusive jurisdiction of the courts located in Toronto, Ontario.
20. Changes to these Terms
We may update these Terms from time to time by posting a revised version on the Site with a new effective date. The Terms in effect when you place an order apply to that order; changes apply only to orders placed after the revised Terms are posted.
21. General
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the policies referred to in them, are the entire agreement between you and us about their subject matter and replace any prior statements on the Site (including FAQ answers) to the extent of any conflict. You may not assign your rights under these Terms without our consent.
